AT WORK

Bethany L. LaFlam, Special Counsel in the firm's Orange County, California office, represents clients in all aspects of business and corporate law, with an emphasis on private securities offerings, strategic planning, new venture formation, and mergers and acquisitions. She regularly advises clients in connection with venture capital, corporate transactions and counseling, technology licensing, software development, and the creation and implementation of effective business models. She advises companies and investors at all stages of development, operating in the health care, aerospace, software, retail, consumer electronics and other technology-related industries.

Bethany has experience negotiating and preparing consulting and professional services agreements; corporate partnering and strategic alliance agreements; reseller, OEM and sales representative agreements; and confidentiality, employment, independent contractor and separation agreements. She has further experience representing content providers in agreements for the licensing of digital content and materials; representing franchisors and franchisees in the preparation and negotiation of franchise and area representative agreements; and representing buyers and sellers in stock option, stock purchase and asset purchase agreements. In addition, she advises companies on general corporate and operations matters.

Bethany has a strong background in complex litigation and trial strategy, particularly in the area of employment law. She draws on her dispute resolution experience to provide risk avoidance and risk management counseling to business owners, employers and managers.

IN THE PROFESSION

Bethany is a member of the Orange County Bar Association’s Business & Corporate Law Section. Prior to joining Much Shelist, Bethany founded and served as Managing Partner for her own law firm, where she was responsible for strategic planning, business development, operations, client relations, and management of employees and vendors. Bethany has been nominated for the Orange County Business Journal's Women in Business and Excellence in Entrepreneurship awards. She is also a registered sports agent in California.

IN THE COMMUNITY

Bethany is President of the Board of Directors of Team Kids, Inc., an Irvine, California-based organization that has helped more than 35,000 young people collaborate in community service initiatives and charitable fundraising. She also volunteers as a working group facilitator for the Living Peace Series at the Center for Living Peace, which features conversations with international leaders committed to making the world a healthy, sustainable and compassionate place.
