Dave focuses on mergers and acquisitions, private equity, and outside general counsel representation of privately held companies.

In his private equity M&A practice, Dave supports clients with their initial platform investments and all manner of additions and add-ons. Adding to the complexity of these transactions is the interplay of accounting and legal issues, such as the negotiation, documentation, and eventual reconciliation or enforcement of complicated earnouts as well as adjustments to enterprise value. His previous experience as a CPA gives Dave the financial literacy to understand these issues and offer practical advice, adding great value to private equity clients.

When leading M&A transactions for private companies, Dave focuses on clients’ objectives and strategies, ensuring deals meet their business goals. His clients appreciate his constant communication and management of expectations throughout the unfamiliar and highly consequential deal process.

Experienced in cross-border transactions, Dave is one of the firm’s representatives to Ally Law, an organization of midsize, local law firms that closely collaborate to better service business clients with worldwide legal needs. He advised the buy-side of a transaction involving an investor group in Mexico that formed a tax-beneficial Swedish entity to purchase a Bolivian operation from a U.S. owner. He also helped a U.S.-based client with operations in the U.K., Australia, Spain, Germany, France, and Mexico sell its largest line of business to a Chinese public company. 

Dave additionally serves as outside general corporate counsel to clients, where his advice is part business, part financial, and part legal. He serves as a strategic advisor on long-term corporate governance and organizational issues while responding quickly to day-to-day legal issues that arise.

Much More Than My Work

I serve on the board of directors of Junior Achievement of Chicago, a nonprofit focused on inspiring and preparing young people to succeed.

I was also part of the pro bono team advising the Lynn Sage Cancer Research Foundation in its merger with the Lynn Sage Foundation. The newly created Lynn Sage Breast Cancer Foundation continues the good work of raising funds for research and education to prevent breast cancer and help those facing breast cancer.

In my free time, I am likely cheering on my son’s hockey team or daughter’s swim team.
