Gary L. Auerbach is a member of the firm's Business & Finance practice group. With more than 30 years of experience in private practice, he delivers knowledgeable, practical legal guidance in a broad range of corporate and commercial matters.

Gary has particular experience helping businesses identify, negotiate, conduct due diligence for, and close a range of transactions, including mergers, acquisitions, divestitures, joint ventures, spinoffs, restructurings and reorganizations. He regularly assists clients with the formation of new companies, the negotiation of payouts and the development of employment agreements.

On behalf of family-owned enterprises, Gary helps develop succession planning strategies and structure intergenerational transfers for both management and non-management family shareholders.

Gary advises clients in the negotiation and documentation of operating agreements, licensing agreements, and real estate, equipment and other leases. With significant experience in securities and tax law, he helps businesses and not-for-profit organizations secure debt and equity financing through traditional loans, private placements, securities issues and public financing initiatives. Gary also assists clients in preparing bids for and negotiating contracts with local, state and federal government entities.

Gary's clients come from industries as diverse as medical devices, food manufacturing, resorts, publishing, events management and real estate development, and include closely held businesses, publicly traded corporations, investment funds, venture capital groups and institutional investors from coast to coast.

IN THE PROFESSION

Gary is a member of the American Bar Association (Business Law and Tax Sections). He has also been recognized by the Leading Lawyers Network as a top Illinois lawyer in the areas of closely and privately held business law and business tax law (2007-2011).

IN THE COMMUNITY

For more than 20 years, Gary served on the Board of Directors of a non-profit retreat center located in rural western Illinois. After helping the organization acquire its initial parcel of land, he has continued to provide legal guidance, including the recent negotiation of sponsorship agreements and succession planning that will help ensure the future of the center.
