Gregory D. Grove, a Principal in the firm's Business & Finance group, concentrates his practice on private equity, venture capital and corporate transactions and counseling. He advises funds, boards of directors, management teams, underwriters, and private and public companies at all stages of development, from entrepreneurial to established, operating in a wide range of industries. Greg draws on his training and experience as an electrical engineer when representing clients in communications, semiconductor, software, medical devices, life sciences and other technology-related industries. Further, Greg provides counsel to companies and investors in the health care industry and retail and consumer products and services.
Greg counsels clients in all aspects of domestic and international private equity and debt transactions, mergers and acquisitions, venture capital investments, public offerings and intellectual property matters. He has significant experience in structuring complex, multi-tiered transactions and advises clients in purchases and sales involving distressed businesses and assets. He assists investors, issuers, underwriters, buyers and sellers in due diligence matters. Greg provides guidance to growing and established businesses regarding exit strategies, including mergers, equity sales, asset sales, public offerings and, where applicable, the negotiation of settlements with former employees, vendors and others. In addition, Greg advises companies on general corporate and ordinary operations matters, including company and subsidiary organization, contract drafting, equity and bonus compensation, and negotiations with executives and others.
IN THE PROFESSION
Greg has spoken on subjects relating to entrepreneurship and investment, including mergers and acquisitions, public offerings and venture capital.
Greg served as a Captain in the U.S. Air Force, where he worked on matters involving labor law, government contracts, international law, administrative law and litigation. While on active duty, he was a Visiting Scholar at Stanford University's Center for International Security and Cooperation, on special assignment by the Acting Secretary of the Air Force. As a Visiting Scholar, Greg conducted research in law, technology and policy with the goal of improving the security of national infrastructures and preventing malicious attacks against the Internet and other computer networks, telephone networks and the electrical power grids. His work on this topic has been published in the U.S. and United Kingdom, and during this period Greg presented a portion of his research at the National Academy of Sciences/National Research Council in Washington, D.C.
In law school, Greg served as Executive Editor and Lead Editor at the Harvard Journal of Law and Technology. Before entering law school, he performed research in semiconductor and polymer optics for 3M Company, and worked in corporate intelligence, strategy and finance for Motorola. As an undergraduate, Greg was a member of Tau Beta Pi (the engineering honor society), Eta Kappa Nu (the electrical engineering honor society), and Sigma Xi (the research honor society).
IN THE COMMUNITY
Greg is a veteran and has volunteered to provide legal assistance to active duty and retired veterans. He has also served as an advisor to non-profit organizations that foster entrepreneurship, including the MIT Entrepreneurship Forum, the MIT Club of Northern California and Bioe2e.
