Eric Guth | Much Law

Eric has represented public and private borrowers, equity sponsors, and financial institutions in a broad array of lending transactions. He has significant experience in the negotiation, documentation, and closing of secured, unsecured, and mezzanine debt facilities, as well as vendor finance programs, securitizations, and other structured products. He regularly prepares transaction documents, including credit agreements, note purchase agreements, collateral documents, commitment letters, and opinions. He also advises financial institutions and other companies on restructuring and reorganization issues involving individual debt facilities, distressed individual loans, loan portfolios, and related collateral.

In the areas of securitizations and structured finance, Eric has experience in a wide variety of asset classes, including trade receivables, equipment-backed leases, residual interests, and other traditional assets. He has also advised clients on emerging and exotic assets, such as employee relocation advances and litigation settlements. He regularly advises companies on bankruptcy-related issues, such as the characterization of certain transactions as "true sales." He has created and maintained a broad range of collateralized loan obligation and collateralized debt obligation facilities, warehouse facilities, and derivative-driven structured finance transactions.

Eric has been engaged by a number of leading banks and financial institutions to conduct structural and tax-related analyses of their existing and potential investments in various structured finance products.

Eric also advises clients in general corporate matters. He has represented individuals, startups, and established enterprises in mergers, stock purchases, asset purchases, and other business combinations. He prepares employment agreements and litigation settlement agreements, and he oversees and conducts due diligence reviews in relation to mergers, acquisitions, divestitures, and other corporate transactions.

Prior to his career in law, Eric served as an executive officer, fire direction officer, battalion nuclear weapons and message verification officer, and platoon leader for the U.S. Army.

I am a member of the Board of Directors of the Old Town School of Folk Music and enjoy playing the banjo. In my spare time, I enjoy working out and being involved in my church and my children’s schools.
