Financially distressed businesses often seek to divest themselves of all or part of their assets as part of an effective exit or workout strategy. In addition to our representation of such companies, we regularly represent third parties in a range of transactions involving the acquisition of physical and intangible assets of troubled enterprises. We work closely with both buyers and sellers to negotiate appropriate terms and ensure the smooth transfer of ownership.

We often work side-by-side with attorneys in Much Shelist's merger and acquisition, securities and corporate finance, and tax practices to conduct due diligence, identify tax consequences and otherwise achieve our client's objectives, whether the purchase involves acquiring all or substantially all of a debtor's business, or is focused on particular operating units or other specific assets. We explore and develop innovative acquisition options, including exchange offers, that can provide our clients with benefits unavailable through outright sale or other more traditional transactions.
