David represents business entities and professional investors in a variety of matters, including venture financing, traditional private equity financing and other alternative investments, mergers and acquisitions, joint ventures, regulatory compliance, corporate governance, asset protection, intellectual property licensing, and business partnerships.

David's understanding of the operational and financial aspects of corporate decision making are key strengths in his collaborations with executives and investors to structure practical solutions to legal and business issues.

David's perspective stems from nearly a decade serving as in-house general and special counsel for his clients. His experience includes negotiating, structuring, and consummating high volumes of separate transactions with portfolio companies of many of the world's leading venture capital firms. For example, he represented the largest stockholder in Force10 Networks in its $600 million acquisition by Dell and served as investors' counsel in more than $3 billion of investments into privately held technology companies. David has reviewed and analyzed thousands of technology-related agreements in a variety of fields and has developed deep relationships in the Silicon Valley technology investment and legal communities. His extensive list of advisees includes investment banks, venture capital funds, and private equity funds, as well as businesses engaged in distribution, telecommunications, wireless devices, computer hardware and software, SaaS and the cloud, data storage, semiconductors, power generation and storage, medical, banking, real estate, manufacturing, alternative energy, and farming. In addition, he has conceived and instituted key best practices initiatives for his clients in compliance, disclosure, and transactional transparency.

Prior to his career in law, David earned a degree in journalism and worked as a news reporter and for two major investment banks. Drawing on his research, writing, critical thinking, and strategic positioning skills, David effectively communicates complex concepts in clear, compelling language for his clients, their customers, and investors.

Committed to the education and development of today’s youth and tomorrow’s leaders, I volunteer my time with the Make-A-Wish Foundation and the Evans Scholars Foundation.

I play too much golf for my own good and love an ice-cold Schlitz at the 19th hole. I have a soft spot for both the Chicago Cubs and the Northwestern Wildcats. As a result, I have a very high pain threshold.
